Position Summary:We are seeking a bilingual Legal Counsel with strong commercial acumen and proven legal experience in Panama (preferably also in the Dominican Republic). The role is suited for a proactive and high-energy legal professional who thrives in entrepreneurial environments and is capable of juggling multiple priorities, tight deadlines, and an evolving deal pipeline.
This is a hands-on role focused on enhancing the company’s legal infrastructure, advising the CEO on legal strategy, and ensuring high standards of compliance and risk mitigation across our projects and partnerships. The ideal candidate must be business-oriented, execution-focused, and able to work autonomously in fast-paced settings.
Key Responsibilities:
• Draft, review, and negotiate a wide range of commercial contracts, joint venture agreements, shareholder agreements, NDAs, and MoUs.
• Lead legal due diligence processes for new investments, partnerships, and project developments.
• Support land acquisition, construction permits, licensing, and regulatory processes in the Dominican Republic real estate portfolio.
• Provide legal support on commercial transactions, procurement, and trade finance arrangements in Panama.
• Liaise with external legal advisors, notaries, registrars, and governmental agencies in both jurisdictions.
• Identify legal risks and recommend solutions in alignment with the company's risk tolerance and business objectives.
• Help structure new business entities, operating agreements, and cross-border investment frameworks.
• Maintain corporate records and ensure compliance with all local legal and regulatory requirements.
• Act as a trusted advisor to the CEO on legal, governance, and strategic matters.
Ideal Profile:
• Qualified lawyer in Panama (mandatory); familiarity with Dominican Republic legal system is a significant plus.
• 7+ years of post-qualification experience, preferably in a mix of private practice and in-house roles.
• Strong transactional background and contract negotiation skills.
• Prior experience in real estate, trade/import-export, and infrastructure/energy sectors is highly desirable.
• Demonstrated ability to lead legal processes independently and interface with senior stakeholders.
• Fully bilingual in Spanish and English (drafting and negotiation level).
• Comfortable working in an unstructured, entrepreneurial environment.
• High integrity, sound judgment, and strong work ethic.
• Willingness to commit to demanding hours and shifting priorities.
